De Hooge Raad der Nederlanden,
Kamer van Burgerlijke Zaken, heeft het navolgende arrest
gewezen:
De Hooge Raad der Nederlanden,
in de zaak (no. 7655) van:
de vereeniging Het Bureau voor Muziek-Auteurs-
recht Buma, gevestigd te Amsterdam, eischeres tot
cassatie van een op 28 November 1940 door det
Gerechtshof aldaar tusschen partijen gewezen arrest,
vertegenwoordigd door Mr. O. B. W. de Kat, advo
caat bij den Hoogen Raad:
TEGEN:
Jogchem's Theaters N.V., gevestigd te Amersfoort,
verweerster in cassatie, vertegenwoordigd door Mr. J. van
Kuyk, mede advocaat bij den Hoogen Raad.
Partijen gehoord;
Gehoord den Procureur-Generaal, in zijne conclusie,
strekkende tot verwerping van het door Jogchems ingestelde
incidenteel beroep in cassatie, tot vernietiging van het
bestreden arrest en voorts daartoe, dat de Hooge Raad, ten
principale rechtdoende, na vernietiging van de, door de
Arrondissements-Rechtbank te Utrecht in dezen gewezen
vonnissen, de door partij Buma bij inleidende dagvaarding
ingestelde vorderingen toewijze, en partij Jogchem's ver-
oordeele in de kosten, op de behandeling van dit geding,
zoowel in eersten aanleg en in hooger beroep, als op deze
tweede behandeling in cassatie, gevallen;
Gezien de stukken;
Overwegende, dat uit het bestreden arrest blijkt:
dat Buma verweerster, Jogchem's Theaters N.V., verder de
vennootschap te noemen, heeft gedaagd voor de Arrondisse
ments-Rechtbank te Utrecht en, behoudens neven-vorde
ringen, heeft gevraagd voor onrechtmatig te verklaren het
zonder toestemming van Buma bij de vertooning van de
geluidsfilm „Fire over England" in het openbaar ten gehoore
brengen in Juli 1938 in het door de vennootschap geëxploi
teerde „City Theater" te Amersfoort van in die film opge
nomen muziekwerken van den Engelschen componist
Addinsell, die het uitvoeringsauteursrecht op deze muziek
ter verdediging en exploitatie in Nederland aan Buma had
toevertrouwd;
dat de Vennootschap, voor zoover thans nog van belang,
als verweer heeft gevoerd, dat vanwege een tusschen den
componist Addinsell en den filmproducer Pendennis gesloten
overeenkomst, een vordering, als thans tegen de vennoot
schap ingesteld, niet zal kunnen slagen;
dat het schrijven van Pendennis aan Addinsell van UM»
Augustus 1936, bevattende die overeenkomst, luidt als volgt:
We have pleasure in confirming the Agreement recently
come to between Mr. Burnside on behalf of this Company
and your engagement as Composer and Musical Adviser in
connection with the Company's motion picture „Fire over
England". The Terms are as Follows:
I. You will collaborate with the Producer and Director
and other officials of the Company conscientiously and to
the full limit of your ability and will accurately and punc-
tually comply with all instructions which may from time to
time be given to you by the Company's officials.
2. You will attend at the Studio during the shooting of
the motion picture whenever your presence is required by
the Company and after the completion of the shooting
period you will attend whenever required for the purpose
of preparing your music score during the making and cutting
of the picture and later for synchronisation (recording) and
eventual post-synchronisation (re-recording) of the finally
cut picture but not after the fifth day of December One
thousand nine hundred and thirty-six.
3. You agree that the entire copyright rights (save and
except the right to collect the little performing right fees)
in all compositions and in all arrangements made by you
here under together with all the results, of your services
here under shall be vested in and belong to and are the
property of the Company and that you will at the request
and cost of the Company execute such further documents
and do such acts and assurances as the Company may require
of you for the purpose of vesting such copyright rights in
the Company and establishing its rights including the right
of publishing the music and offering it for sale as well as
arranging for its performance and (except as above) collec-
ting the fees for any such performance. The Company agrees
to pay to you a sum equivalent to 3 3'/3% (Thirty-three and
one - third per cent) of all gross sums received by the
Company's Publishers for the sale of all sheet music of your
themes compositions and arrangements here under and from
the exploitation of the mechanical rights of such themes
compositions and arrangements.
4. In consideration of the premises and of the due ful-
filment by you of all of the terms of this Agreement the
Company will pay you the sum of 275 (two hundred and
seventy-five pounds) which shall be payable as to 50
(fifty pounds) on each of the following days, July I 5th,
August I Sth, September I 5th, and October I Sth, with a
final payment of 75 (seventy-five pounds) to be made
with in three days of the completion of your work here
under.
5. You will receive screen credit as the Composer of the
music for the said motion picture.
6. You will not be required to write more music than
finally selected when recorded in its entirety will occupy more
than forty (40) minutes on the screen. If your music occu-
pies more time the Company will pay you I 0 (ten pounds)
per minute for every minute recorded in excess of forty
minutes. This does not apply to music used from other com
posers.
7. If the production activities of the Company are so
hampered or interrupted, by any reason whatsoever beyond
the control of the Company, that the production of this
motion picture has to be postponed or if by reason of any
incapacity whatsoever you are unable to render you services
here under the Company may there upon suspend this
Agreement and in the event that such suspension shall
continue for more than 3 (three) weeks either the Company
or yourself shall have the right to determine this Agreement
by seven days notice in writing but if you serve the notice
the Company may retain your services by putting you upon
salary before the expiration of such notice.
If you agree the foregoing terms will you kindly sign/the
carbon copy of this letter across the sixpenny stamp at the
foot thereof under the words ,,l confirm the above";
Overwegende, dat de Rechtbank te Utrecht de vordering
heeft afgewezen bij eindvonnis van 22 Juni 1939;
dat Buma in beroep is gekomen bij het Gerechtshof te
Amsterdam, terwijl de vennootschap harerzijds incidenteel
in appèl is gekomen;
dat het Hof bij arrest van 25 Januari I 940 het vonnis
heeft bekrachtigd, doch de Hooge Raad bij arrest van 28 Juni
I 940 dit arrest heeft vernietigd;
dat het Hof vervolgens bij het thans bestreden arrest van
28 November 1940 opnieuw voormeld vonnis heeft be
krachtigd, na te hebben overwogen:
„dat de geluidsfilm in het algemeen en met name ook de
litigieuze film „Fire over England" is te beschouwen als een
